Terms and Conditions
These Terms and conditions describe what you agree to by continuing to use our products or services.
Please read these Terms and Conditions carefully before using the services provided by Niche Speak (“the Company”). By engaging with or using any of the services offered by Niche Speak, you agree to be bound by the following terms and conditions:
- Scope of Services: Niche Speak provides a range of hosting and professional services including Graphic Design & Branding, Web Design, Ui/Ux & Web Development, Mobile App Design & Development, Social Media Marketing (SMM), Search Engine Optimisation (SEO), Search Engine Marketing (SEM), Video/Motion, 2D & 3D Animation, Email Marketing & Automation, Copywriting & Content Creation, and Photography. The Company shall perform these services according to the specifications and requirements agreed upon by the Client.
- Payment and Billing:
2.1 Fees and Charges: The Client agrees to pay the Company the agreed-upon fees for the services rendered. The fees may vary based on the scope and complexity of the services provided. All fees and charges are exclusive of applicable taxes.
2.2 Invoicing: The Company shall issue invoices to the Client for the services provided. Payment is due within seven (7) days from the date of the invoice unless otherwise specified in writing.
2.3 No-Refund Policy: All payments made to Niche Speak are non-refundable. For more information on our refund policy, please refer to our full refund policy on our website. - Work Dormant for 6-Month Surcharge for Reactivation: If the Client fails to provide necessary feedback, information, or approvals within a period of six (6) consecutive months, and the work remains dormant during this time, the Company reserves the right to apply a surcharge for reactivation. The surcharge amount will be communicated to the Client in writing before its application.
- Suspension of Hosting and Professional Services: If invoices remain unpaid after fourteen (14) days from the date of the invoice, the Company reserves the right to suspend the hosting and professional services provided to the Client until payment is received in full. The Company shall not be liable for any damages or losses incurred by the Client as a result of such suspension.
- Surcharge for Urgent Projects: For urgent projects requiring expedited services, a surcharge of up to 50% of the total project cost may be applied. The Client will be informed of any additional charges before the commencement of work.
- Intellectual Property:
6.1 Ownership: The Company acknowledges that all pre-existing intellectual property owned by the Client, or any intellectual property developed solely by the Company for the Client, shall remain the exclusive property of the Client.
6.2 License: Upon full payment of the agreed-upon fees, the Company grants the Client a non-exclusive, non-transferable license to use the deliverables provided by the Company solely for the Client’s intended purposes. - Confidentiality: Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of their engagement. This includes trade secrets, business plans, financial information, and any other information designated as confidential. The obligation of confidentiality shall survive the termination or expiration of services.
- Limitation of Liability:
8.1 The Company shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to the services provided, regardless of the cause of action.
8.2 The Company’s liability for any direct damages shall be limited to the total fees paid by the Client for the specific services provided. - Termination: Either party may terminate the services provided by Niche Speak upon written notice to the other party. In the event of termination, the Client shall pay for all services rendered up until the effective termination date.
- Governing Law and Jurisdiction: These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Niche Speak operates. Any disputes arising from or related to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
- Amendments: Niche Speak reserves the right to modify or amend these Terms and Conditions at any time. Any modifications or amendments shall be effective immediately upon posting the updated version on the Company’s website. It is the responsibility of the Client to review these Terms and Conditions periodically for any changes.
By using the services of Niche Speak, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
